AGREEMENT TO OUR LEGAL TERMS
We are ClientSync Marketing Innovations LLC which runs Ono Home Bakes ("Ono Home Bakes," "Company," "we," "us," "our"), a company registered in Hawaii, United States at 95-1030 Meheula Parkway #894681, Mililani, HI 96789.
We operate the website https://onohomebakes.com (the "Site"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").
Ono Home Bakes is a free online guide to Hawaii home bakers. Browsing is free, and listing or claiming a bakery is free. Home bakers may buy optional Pro or Featured plans that add features to their listing. We send text messages to bakers who opt in on our forms: listing notifications (claim codes, listing updates, renewal reminders), customer care, and marketing (offers and news, only if you opt in).
You can contact us by email at team@clientsyncmarketinginnovations.com, or by mail to 95-1030 Meheula Parkway #894681, Mililani, HI 96789, United States.

1. OUR SERVICES
Ono Home Bakes does not sell food, take orders, or take payments for bakers. You order from and pay the baker directly, and any deal is between you and the baker. We do not inspect kitchens, check permits, or test food. Listings come from bakers' public posts and from bakers themselves, and hours and menus can change. Check with the baker before you go, and ask about allergens before you order.
Listings. We list home bakeries only, not storefronts, shared retail spaces, or commercial kitchens. We show a bakery's area only, never a home address. To claim or change a listing, you must be the owner or have the owner's permission, and we may ask you to prove it. We may decline, edit, or remove a listing that does not fit, is inaccurate, or breaks these Legal Terms. Anyone can ask us to remove a listing on our removal page, and we remove it within two business days.
Bakers' responsibilities. Bakers are responsible for following Hawaii's homemade food rules, including labels and food safety training. See our summary of the rules.
The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.
The Services are not tailored to comply with industry-specific regulations (Health Insurance Portability and Accountability Act (HIPAA), Federal Information Security Management Act (FISMA), etc.), so if your interactions would be subjected to such laws, you may not use the Services. You may not use the Services in a way that would violate the Gramm-Leach-Bliley Act (GLBA).
2. INTELLECTUAL PROPERTY RIGHTS
Our intellectual property
We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks").

If you wish to make any use of the Services, Content, or Marks other than as set out in this section or elsewhere in our Legal Terms, please address your request to: team@clientsyncmarketinginnovations.com. If we ever grant you the permission to post, reproduce, or publicly display any part of our Services or Content, you must identify us as the owners or licensors of the Services, Content, or Marks and ensure that any copyright or proprietary notice appears or is visible on posting, reproducing, or displaying our Content.
We reserve all rights not expressly granted to you in and to the Services, Content, and Marks.
Any breach of these Intellectual Property Rights will constitute a material breach of our Legal Terms and your right to use our Services will terminate immediately.

- to the extent permissible by applicable law, waive any and all moral rights to any such Submission and/or Contribution;

You are solely responsible for your Submissions and/or Contributions and you expressly agree to reimburse us for any and all losses that we may suffer because of your breach of (a) this section, (b) any third party’s intellectual property rights, or (c) applicable law.

4. USER REGISTRATION
You may be required to register to use the Services. We sign you in with a link sent to your email. You agree to keep access to your email account secure and will be responsible for all use of your account. 5. PURCHASES AND PAYMENT
We accept the following forms of payment:
- Discover
- American Express
- Mastercard
- Visa
You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services. You further agree to promptly update account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed. Hawaii general excise tax will be added to the price of purchases at checkout. We may change prices at any time. All payments shall be in US dollars.
You agree to pay all charges at the prices then in effect for your purchases, and you authorize us to charge your chosen payment provider for any such amounts upon placing your order. We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment.
We reserve the right to refuse any order placed through the Services. We may, in our sole discretion, limit or cancel quantities purchased per person, per household, or per order. These restrictions may include orders placed by or under the same customer account, the same payment method, and/or orders that use the same billing or shipping address. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers, or distributors.
6. SUBSCRIPTIONS
Billing and Renewal
Your subscription will continue and automatically renew unless canceled. You consent to our charging your payment method on a recurring basis without requiring your prior approval for each recurring charge, until such time as you cancel the applicable order. The length of your billing cycle will depend on the type of subscription plan you choose when you subscribed to the Services.
Pro and Featured plans renew automatically every month or every year, depending on the plan you choose, and we charge the card on file until you cancel. Yearly plans get an email reminder 30 to 60 days before they renew.
Cancellation
You can cancel your subscription at any time with Manage billing in your dashboard, or by emailing us at team@clientsyncmarketinginnovations.com. Cancel before your renewal date to avoid the next charge. Your cancellation will take effect at the end of the current paid term, and then your listing goes back to the free plan.
All purchases are non-refundable. In rare cases, such as a billing error, a duplicate charge, or a problem on our side that keeps your paid features from working, we may give a full or partial refund at our sole discretion. Email us at team@clientsyncmarketinginnovations.com within 30 days of the charge.
Fee Changes
We may, from time to time, make changes to the subscription fee and will give you at least 30 days' notice by email before a price change on your plan, in accordance with applicable law.
Founding Baker Rate
The Founding Baker rate gives 40% off Pro or Featured to the first 25 paid bakers or through December 31, 2026, whichever comes first. You keep it while you stay subscribed. If you cancel and come back, regular prices apply.
What Plans Include
Prices are on our pricing page. Featured is limited to 3 bakers per area. Paid plans add features to your listing and do not promise a number of views or orders. Features marked "Coming soon" are added at no extra cost when they launch.

We review every Notification, take down material that infringes, and close the accounts of people who infringe more than once. If your content was removed and you think that was a mistake, email us and tell us why.
15. TERM AND TERMINATION
These Legal Terms shall remain in full force and effect while you use the Services. WITHOUT LIMITING ANY OTHER PROVISION OF THESE LEGAL TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICES (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE LEGAL TERMS OR OF ANY APPLICABLE LAW OR REGULATION. WE MAY TERMINATE YOUR USE OR PARTICIPATION IN THE SERVICES OR DELETE YOUR ACCOUNT AND ANY CONTENT OR INFORMATION THAT YOU POSTED AT ANY TIME, WITHOUT WARNING, IN OUR SOLE DISCRETION.

In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.

We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion without notice. However, we have no obligation to update any information on our Services. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Services.
We cannot guarantee the Services will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Services, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Services at any time or for any reason without notice to you. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Services during any downtime or discontinuance of the Services. Nothing in these Legal Terms will be construed to obligate us to maintain and support the Services or to supply any corrections, updates, or releases in connection therewith.
17. GOVERNING LAW
These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of the State of Hawaii applicable to agreements made and to be entirely performed within the State of Hawaii, without regard to its conflict of law principles.
18. DISPUTE RESOLUTION
Informal Negotiations
To expedite resolution and control the cost of any dispute, controversy, or claim related to these Legal Terms (each a "Dispute" and collectively, the "Disputes") brought by either you or us (individually, a "Party" and collectively, the "Parties"), the Parties agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice from one Party to the other Party.
Binding Arbitration
If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute (except those Disputes expressly excluded below) will be finally and exclusively resolved by binding arbitration. YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association ("AAA") and, where appropriate, the AAA’s Supplementary Procedures for Consumer Related Disputes ("AAA Consumer Rules"), both of which are available at the American Arbitration Association (AAA) website. Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Consumer Rules and, where appropriate, limited by the AAA Consumer Rules. If such costs are determined by the arbitrator to be excessive, we will pay all arbitration fees and expenses. The arbitration may be conducted in person, through the submission of documents, by phone, or online. The arbitrator will make a decision in writing, but need not provide a statement of reasons unless requested by either Party. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Except where otherwise required by the applicable AAA rules or applicable law, the arbitration will take place in Honolulu, Hawaii. Except as otherwise provided herein, the Parties may litigate in court to compel arbitration, stay proceedings pending arbitration, or to confirm, modify, vacate, or enter judgment on the award entered by the arbitrator.
If for any reason, a Dispute proceeds in court rather than arbitration, the Dispute shall be commenced or prosecuted in the state and federal courts located in Honolulu, Hawaii, and the Parties hereby consent to, and waive all defenses of lack of personal jurisdiction, and forum non conveniens with respect to venue and jurisdiction in such state and federal courts. Application of the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) are excluded from these Legal Terms.
In no event shall any Dispute brought by either Party related in any way to the Services be commenced more than one (1) years after the cause of action arose. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.
Restrictions
The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.
